This National Law firm are currently looking for a Charites associate with 5+PQE to join their team in London.

They are a leading charity law and social enterprise law firm, their charities and social enterprise sector form a core part of their business. They have an established charity and not-for-profit practice and reputation and they are committed to a continued review to develop their services to meet the rapidly changing needs of this sector. Their Charity and Social Enterprise solicitors look after their clients with a comprehensive and can-do approach through a dedicated national team working across the firm's four offices.

The Role will involve:
* Advising on the Charities Act and the Companies Act (as applicable to charities) and the Community Interest Company Regulations (and ideally the Co-operative and Community Benefit Societies Act 2014)
* Advising on charity trustee and director's duties
* Providing board training
* Providing company secretarial services
* Advising on the removal of trustees, including drafting notices /resolutions for removal of directors under s168 Companies Act 2006
* Applying to register charities with the Charity Commission and OSCR and community interest companies (and ideally community benefit societies with the FCA)
* Drafting trust deeds, constitutions, articles of association and rules for community benefit societies (including complex ones e.g. for national or professional membership organisations)
* Obtaining orders, schemes and consents from the Charity Commission
* Advising on mergers group restructures- drafting merger agreements, obtaining consents if required from the Charity Commission and OSCR, advising on both the charity law and commercial aspects, undertaking legal due diligence (and project managing the input of other legal specialties, e.g. employment and real estate), transferring permanent endowment to corporate trusteeship and if need be obtaining a scheme and uniting direction from the Charity Commission
* Converting unincorporated charities to CIOs or charitable companies limited by guarantee - drafting constitutions/ transfer agreements/vesting declarations; transferring permanent endowment to corporate trusteeship and if need be obtaining a scheme and uniting direction from the Charity Commission; obtaining Charity Commission consent for S190 approvals under Companies Act 2006
* Setting up charity trading companies- drafting articles of association; advising on and drafting agreements from the charity for secured loans, services and intellectual property licences
* Governance reviews- updating constitutional documents, including drafting subsidiary regulations and policies, e.g. conflicts of interest, anti-bribery, trustee payments, trustee codes of conduct
* Drafting terms of reference for committees
* Advising on the charity law regulation of professional fundraisers and commercial participators and drafting agreements to comply with Charity Act
* Preparing feasibility reports on the pros and cons of running social businesses through charities, CICs, companies limited by guarantee and community benefit societies
* Advising on the structure for collaborations and consortia, including drafting collaboration agreements and the constitutions for special purpose legal entities
* Advising on the structuring and management of lotteries so they comply with the Gambling Act
* Advising on and drafting serious incident reports to the Charity Commission
* Advising trustees where their charity is investigated by the Charity Commission or is subject to a statutory inquiry by them
* Drafting standard grant terms and conditions for charities
* Negotiating grant agreements to charities
* Other work involves( where experience would be ideal)
* Petitioning for, and drafting, new royal charters; amending Charters, byelaws and ordinances; liaising with the Privy Council to obtain consents
* Converting community benefit societies into companies limited by guarantee which may the n register as charities
* Converting charities to CICs
* Advising on community shares issues and drafting the share offer prospectus
* Advising staff in Government Departments, local authorities and NHS bodies on setting up staff led social enterprise to take over public services
